These Terms of Service ("Terms") govern access to and use of the websites, applications, software, and services provided by Asistone Yazılım ve Teknoloji Sanayi ve Ticaret Limited Şirketi ("Asistone", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. These Terms apply to all Asistone products, including Asistone AI and Asistone ERP.

Scope of the Services

Asistone provides a software-as-a-service (SaaS) platform that enables businesses and individuals to manage customer communications, messaging channels, e-commerce integrations, advertising management, marketing campaigns, and optional AI-powered automation features.

Services may include, but are not limited to:

Unified inbox for WhatsApp, Instagram, and Messenger
Messaging management and customer communication tools
Shopify and other e-commerce platform integrations
Meta Marketing API integration for advertising management and analytics
WhatsApp Campaigns and marketing communication features
Optional AI agents configured and controlled by users
ERP and business management features (Asistone ERP)

Eligibility and Accounts

You may use the Services as an individual user or as an authorized representative of a business entity.

You represent and warrant that:

You are at least 18 years old
You have the authority to bind the business you represent
All information provided during registration is accurate and up to date
You are responsible for all activity conducted under your account

The Services are intended for users who are at least 18 years of age. By using the Services, you confirm that you meet this age requirement.

Asistone reserves the right to suspend or terminate accounts that provide false or misleading information.

User Responsibilities

You agree to use the Services in compliance with all applicable laws, regulations, and platform policies, including messaging platform, advertising platform, and e-commerce provider rules.

You must not:

Use the Services for spam, scams, phishing, or deceptive practices
Send unlawful, harmful, or abusive content
Circumvent platform safeguards or rate limits
Use the Services in violation of third-party terms or policies
Attempt unauthorized access to systems or data

You are solely responsible for the content you send, manage, or automate through the Services.

Messaging and Platform Integrations

When you connect third-party platforms (such as WhatsApp, Instagram, Messenger, or Shopify), you authorize Asistone to process data on your behalf in accordance with your instructions.

You acknowledge that:

Asistone acts as a data processor for platform-provided data
Continued use of third-party platforms is subject to their respective terms and policies
Platform availability and functionality are outside Asistone's control

4.1 Shopify Integration Specific Terms

When you connect your Shopify store to Asistone, you authorize the following operations:

Authorization Scope:

Access to customer data (names, contact information, addresses, marketing preferences)
Reading and updating order information and fulfillment status
Reading and updating customer information and tags
Access to product and inventory data
Receiving webhook notifications for orders, customers, and inventory changes

Data Synchronization:

Asistone maintains a local copy of your Shopify store data for performance and reliability
Changes made in Asistone are synchronized back to Shopify where applicable
Shopify is considered the "source of truth" – conflicts are resolved in favor of Shopify data
Synchronization occurs via Shopify webhooks and periodic API polling

Restrictions:

Asistone does not access or store your Shopify account password
Payment credentials (credit card numbers, bank details) are never processed or stored
Asistone operates within Shopify API rate limits and usage guidelines
Admin-level Shopify settings (themes, checkout configuration) are not accessed

Integration Removal:

You may disconnect Asistone from your Shopify store at any time via Shopify admin panel
Disconnection does not automatically delete synced data from Asistone
Data remains available for potential reconnection to the same or different Shopify store
Permanent deletion requires explicit account deletion or written request

Advertising and Marketing Features

Asistone provides advertising and marketing features that enable users to manage their advertising campaigns and communicate with their customers.

Meta Marketing API Integration:

Users may connect their Meta (Facebook/Instagram) advertising accounts via OAuth authorization
Asistone retrieves and displays advertising performance data, analytics, and insights on behalf of users
AI-powered recommendations may be provided based on advertising data
Users are responsible for compliance with Meta Advertising Policies and applicable advertising regulations

WhatsApp Campaigns:

Users may create and send marketing campaigns to their customers via WhatsApp
Users may upload customer contact lists or select recipients from existing conversations
Users are solely responsible for obtaining appropriate consent from recipients
Users must comply with WhatsApp Business Policy and applicable marketing regulations

Asistone does not guarantee the performance, delivery, or success of any advertising or marketing campaigns. Users bear full responsibility for the content and targeting of their campaigns.

AI-Powered Features

Asistone may offer optional AI-powered features that can be enabled or disabled by users.

You acknowledge and agree that:

AI agents operate based on user-defined prompts and permissions
AI-generated responses are not legally or commercially binding
AI features do not make automated decisions without explicit user authorization
AI agents may rely on third-party AI providers and tools
Asistone does not guarantee the accuracy or completeness of AI-generated outputs
AI may be used to generate advertising recommendations and marketing content upon user request

You are responsible for reviewing and approving AI-assisted interactions where required.

Data Protection and Privacy

Personal data is processed in accordance with the Privacy Policy and Data Deletion Policy.

By using the Services, you acknowledge that:

Asistone processes data on your behalf as a data processor
You are responsible for obtaining any required consents from your end users
Message data is not used by Asistone for its own advertising purposes
Campaign contact lists and marketing data are processed solely for the purpose of providing the Services

Subscription, Fees, and Billing

Certain features of the Services may require a paid subscription.

Free Trial:

New users may be eligible for a 14-day free trial period
No payment is required during the trial period
At the end of the trial period, a paid subscription is required to continue using the Services

Payment Processing:

Payments are processed through iyzico, a third-party payment service provider
By subscribing, you agree to iyzico's terms and conditions
Asistone does not store full credit card numbers; payment information is handled securely by iyzico

Subscription Terms:

Fees are billed according to the selected plan (monthly or annual)
Subscription terms and pricing are disclosed prior to purchase
Subscriptions automatically renew at the end of each billing period unless cancelled
You will receive a notification before each automatic renewal

Cancellation:

You may cancel your subscription at any time through your account settings or by contacting us
Upon cancellation, you will retain access to the Services until the end of your current billing period
No partial refunds will be provided for unused time within a billing period

Refund Policy:

Payments are non-refundable once processed
No refunds will be provided for partial subscription periods or unused Services
The 14-day free trial allows you to evaluate the Services before committing to a paid subscription

Non-Payment:

Failure to pay applicable fees may result in suspension or termination of Services
Asistone reserves the right to recover any outstanding amounts

Suspension and Termination

Asistone may suspend or terminate access to the Services if you:

Violate these Terms
Engage in prohibited or unlawful activities
Cause legal, security, or operational risk
Violate advertising or messaging platform policies

You may terminate your account at any time. Upon termination, data will be deleted in accordance with the Data Deletion Policy.

Intellectual Property

All intellectual property rights in the Services, including software, designs, trademarks, and documentation, are owned by Asistone or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Services during the term of your subscription.

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

Asistone makes no warranties, express or implied, regarding:

Continuous or uninterrupted availability
Error-free operation
Fitness for a particular purpose
Performance or success of advertising or marketing campaigns

Limitation of Liability

To the maximum extent permitted by law, Asistone shall not be liable for:

Indirect, incidental, or consequential damages
Loss of profits, data, or business opportunities
Actions taken based on AI-generated outputs
Results or outcomes of advertising or marketing campaigns
Third-party platform availability, policy changes, or account restrictions

Asistone's total liability shall not exceed the fees paid for the Services in the twelve months preceding the claim.

Changes to the Terms

Asistone may update these Terms from time to time. Material changes will be communicated via email and published on our websites. Continued use of the Services constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Courts of Denizli, Türkiye shall have exclusive jurisdiction.
